Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Nova AI platform, website, and services (collectively, the "Services") provided by Nova AI ("Nova AI," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
Description of Service
Nova AI provides an enterprise AI agent platform that enables organisations to build, deploy, and manage intelligent automation solutions. Our Services include the AI agent builder, deployment infrastructure, integrations, analytics, and related support services. We continuously improve and update our Services, and features may change over time.
Account Registration
To use our Services, you must create an account and agree to the following:
Eligibility
You must be at least 18 years old and have the legal authority to bind your organisation to these Terms. By creating an account, you represent that you have this authority.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Subscription and Payment
Our Services are provided on a subscription basis with the following terms:
Pricing and Billing
Subscription fees are charged in advance on a monthly or annual basis, as selected during signup. Prices are subject to change with 30 days notice. Annual subscriptions are billed at the start of the subscription period.
Payment Methods
We accept major credit cards, ACH transfers, and wire transfers for enterprise accounts. You authorise us to charge your selected payment method for all applicable fees.
Taxes
All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales tax, VAT, GST, and withholding taxes. We will add applicable taxes to your invoice where required by law.
Refund Policy
Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for a prorated refund if cancelled within the first 30 days. Enterprise agreements may have custom refund terms specified in your contract.
User Responsibilities
As a user of our Services, you agree to:
- Provide accurate, current, and complete information during registration and maintain its accuracy
- Use the Services in compliance with all applicable laws, regulations, and industry standards
- Take responsibility for all data you input into the platform, including ensuring you have rights to use such data
- Implement appropriate security measures within your organisation
- Train your users on proper use of the Services
Prohibited Uses
You may not use our Services to:
- Engage in any illegal activities or facilitate illegal activities for others
- Create, store, or transmit harmful, offensive, or discriminatory content
- Attempt to reverse engineer, decompile, or disassemble any portion of the platform
- Circumvent, disable, or interfere with security features or access restrictions
- Resell, sublicense, or redistribute the Services without written authorisation
- Use the Services to develop a competing product or service
- Send unsolicited communications or spam through the platform
- Introduce viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorised access to the Services or related systems
Intellectual Property
Ownership and license rights are allocated as follows:
Nova AI Intellectual Property
Nova AI owns all rights, title, and interest in the platform, technology, software, documentation, trademarks, and all related intellectual property. These Terms do not grant you any ownership rights in our intellectual property.
Your Data
You retain all rights to the data you input into the Services ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use Your Data solely to provide and improve the Services.
Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our products and services.
Service Level Agreement
We commit to the following service levels for paid subscriptions:
Support Response Times
Starter plan: 24-hour response time. Professional plan: 8-hour response time with 24/5 coverage. Enterprise plan: 1-hour response time with 24/7 coverage and dedicated support channel.
- Platform availability: 99.9% uptime measured monthly, excluding scheduled maintenance
- Scheduled maintenance windows: Sundays 2:00 AM - 6:00 AM UTC, with 48-hour advance notice
- Emergency maintenance: May occur with minimal notice when required for security or stability
Limitation of Liability
To the maximum extent permitted by law, Nova AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Nova AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) Your Data.
Termination
Either party may terminate the subscription as follows:
Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.
Termination by Nova AI
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or engage in activity that harms other users or our systems. We will provide notice where practicable.
Effect of Termination
Upon termination, your right to use the Services ceases immediately. You may export Your Data within 30 days of termination. After 30 days, we will delete Your Data in accordance with our data retention practices.

Any disputes will be resolved as follows:
Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Informal Resolution
Before filing any formal dispute, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will work in good faith to resolve issues within 30 days.
Binding Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware. Each party bears its own costs. The arbitrator's decision is final and binding.
Changes to Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days notice via email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.
